The Internet marketing firm Be Free Inc. had a peak market value of $3 billion, according to the company. Because of a reporter's error, the valuation was overstated in a Business section story in Tuesday's Telegram & Gazette.
The Internet marketing firm Be Free Inc., once a symbol of the high-flying new economy, is being sold in a stock deal worth about $128.5 million -- a bargain compared to the company's peak value in February 2000.
ValueClick Inc., a similar online-advertising company in Westlake Village, Calif., has agreed to acquire Be Free for about 43.4 million shares. Be Free shareholders will receive .65 shares of ValueClick for each share of Be Free. The deal values Be Free shares at $1.95, a 26 percent premium over last week's closing price.
Shares of Be Free gained 23 cents to close at $1.78 yesterday, while shares of ValueClick lost 16 cents to close at $2.80 per share.
Be Free, based in Marlboro and employing 89 at its headquarters, will become a wholly-owned subsidiary of ValueClick. ValueClick Chairman and Chief Executive James Zarley will become chief executive of the combined company.
Gordon B. Hoffstein, chairman, president and chief executive of Be Free, will step down after a transition period of "several months," he said. He will retain a seat on the board of directors.
Be Free's shares traded as high as $56 two years ago, when its peak market value reached more than $30 billion.
The 6-year-old company, founded by brothers Samuel P. and Thomas A. Gerace, was a darling of the Internet bubble, hyped as one of the leaders in the new world of online marketing.
Be Free helps online merchants and Web portals by promoting their goods and services on other Web sites, a practice called "affiliate marketing." When someone clicks through to a client site and buys a product, the referring site -- or affiliate -- and Be Free get a percentage of the sale.
On the day of its initial public offering, Nov. 3, 1999, shares soared $17 to $29 per share. From 1999 to 2000, the company's revenue increased 581 percent as dot-com companies spent millions on online advertising strategies.
But when the Internet bubble burst, the company lost dozens of customers, including 72 in just the first quarter of 2001. Despite the environment, Be Free managed to hold more than $132 million in cash and had been actively pursuing merger possibilities for more than a year, Mr. Hoffstein said.
Be Free engaged in talks with 242 companies before agreeing to the merger with ValueClick, Mr. Hoffstein said.
"This deal was imperative for the company because things have changed so much," he said. "We have a great product but have had trouble making it a great company."
The company wanted to join forces with another in a strong cash position, Mr. Hoffstein said. ValueClick had roughly $140 million in cash reserves before the deal, giving the combined company more than $270 million to work with, ValueClick spokeswoman Elizabeth M. Lloyd said.
With the acquisition, ValueClick is expected to have annual revenue of $83 million -- $60 million from ValueClick and $23 million from Be Free, she said.
The deal also expands ValueClick's client list, adding such Be Free clients as Sprint, Microsoft and IBM. Existing ValueClick customers include eBay, Wells Fargo and Dell Computer.
"We're now up to over $270 million in cash, their media and technology definitely complements our offerings, and they have some great clients," Ms. Lloyd said. "We thought this would be a brilliant move to gain more market share."
ValueClick has been steadily acquiring companies to broaden its product lines, said Lanny Baker, a research analyst with Salomon Smith Barney.
"Back in the heyday of the Net, there were an awful lot of companies, and ValueClick may have been one of them, that was not a full company but had the features of a company. They were like a restaurant that only served salad. Now they're expanding the menu," he said.
With the infusion of cash from the deal, ValueClick is likely to continue those acquisitions to turn itself into one of the largest marketing services companies, he said.
"Before your eyes they are assembling what ought to become a successful marketing services company," he said.
The sale price pales in comparison to Be Free's peak value on Wall Street. But in today's market for Internet stocks, $128 million is a fair price, Mr. Hoffstein said.
"When it was at (nearly) $60 a share, that was a different time," he said. "At where we are today, I think we did very well. Be Free shareholders are being well rewarded." Be Free lost $142 million, or $2.22 per share, during fiscal year 2001 on revenue of $23.4 million.
